Terms & Conditions (Terms of Service)

These Terms & Conditions (“Terms”) govern your access to and use of the WKRD Label & Publishing Co. social website, including any pages, features, forums, messaging, media uploading, memberships, and related services (collectively, the “Site” or “Services”) operated by WKRD Label & Publishing Co. (“WKRD,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms.

If you do not agree, do not use the Site.

1) Eligibility and Account Registration

  1. Age Requirements. You must be at least 13 years old to use the Site. If you are under 18, you represent that you have permission of a parent/guardian.

  2. Account Information. You agree to provide accurate information and keep it up to date.

  3. Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

  4. One Person / One Account. We may limit multiple accounts by the same person, device, or organization where abuse is suspected.

2) Community Rules and Acceptable Use

You agree not to, and not to help others to:

  1. Break the law or encourage illegal activity.

  2. Harass, threaten, stalk, or abuse any person or group.

  3. Post hate, discriminatory, or dehumanizing content based on protected characteristics or any other status.

  4. Post sexually explicit content involving minors (strictly prohibited) or any content that sexualizes minors (zero tolerance).

  5. Promote violence or provide instructions for wrongdoing.

  6. Spam (bulk messages, repetitive posts, scams, deceptive links, pyramid schemes).

  7. Impersonate WKRD, staff, artists, bands, brands, or other users, including “official/verified/support/admin” impersonation.

  8. Upload malware or attempt to interfere with Site functionality (e.g., probing, scraping, DDoS, credential stuffing).

  9. Collect or harvest data from the Site without permission (including email lists and contact info).

  10. Post private/confidential info (doxxing), including addresses, phone numbers, IDs, or financial info.

  11. Evade enforcement (creating new accounts to bypass restrictions, using obfuscation to avoid filters).

We may remove content and/or restrict accounts at our discretion to protect the community.

3) Content You Post (User Content)

“User Content” includes text, images, audio, video, links, files, messages, and any other materials you upload, post, or share.

  1. You own what you post. You retain ownership of your User Content.

  2. You grant WKRD a license. You grant WKRD a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, perform, distribute, and create technical modifications of your User Content only as needed to operate, improve, and provide the Services (e.g., formatting, transcoding, displaying in feeds, backups).

  3. Community visibility. Content you post may be visible to other users depending on your settings and the Site’s features.

  4. Responsibility. You are solely responsible for your User Content and represent that you have all rights required to post it.

4) Copyright and Intellectual Property (DMCA-Style Policy)

  1. No infringement. Do not post content that violates copyrights, trademarks, or other IP rights.

  2. Notice and takedown. If you believe content infringes your copyright, you may send a notice with:

    • identification of the copyrighted work,

    • identification of the allegedly infringing material and where it appears,

    • your contact information,

    • a statement of good-faith belief,

    • a statement under penalty of perjury that the information is accurate and you are the owner or authorized agent,

    • your physical or electronic signature.

  3. Repeat infringers. WKRD may terminate accounts of repeat infringers.

5) Music, Media, and Artist Pages

  1. Artist uploads and links. If you upload or link to music/videos, you represent you have the necessary rights and permissions (including from collaborators, labels, publishers, and performers).

  2. No guarantee of distribution. Any references to distribution to platforms or stores are subject to eligibility, technical requirements, third-party rules, and WKRD review processes (if offered).

  3. Mastering and services. Any mastering, promotional, or label services offered by WKRD may have separate agreements, scopes, turnaround times, and eligibility requirements.

6) Usernames and Reserved Names

You may not register usernames that WKRD determines are confusing, deceptive, or abusive, including names that imply affiliation with WKRD or its staff (e.g., “admin,” “support,” “official”). We may reclaim or change such usernames at any time.

7) Memberships, Paid Features, and Payments (If Applicable)

If the Site includes paid memberships, digital services, or add-ons:

  1. Fees and billing. Prices, renewal intervals, and included features are described at purchase.

  2. Authorization. You authorize us (and our payment processors) to charge your payment method for fees, taxes, and applicable charges.

  3. Refunds. Unless required by law, fees are generally non-refundable once a billing period begins or a digital service is delivered.

  4. Chargebacks and disputes. Fraudulent or bad-faith chargebacks may result in account restrictions.

8) Feedback and Submissions

If you send suggestions, ideas, or feedback, you grant WKRD the right to use them without obligation or compensation.

10) Enforcement, Moderation, and Termination

  1. Moderation. We may review, remove, or restrict content or accounts at any time to enforce these Terms or protect users.

  2. Suspension/termination. We may suspend or terminate your account, with or without notice, for violations or risk to the community or Services.

  3. Data and content upon termination. We may retain certain information as required by law or for legitimate business needs (e.g., security logs), consistent with our Privacy Policy.

11) Disclaimers

  1. Service provided “as is.” The Site and Services are provided on an “AS IS” and “AS AVAILABLE” basis.

  2. No warranties. To the maximum extent permitted by law, WKRD disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

  3. No guarantee of availability. We do not guarantee uninterrupted access, error-free operation, or that content will always be preserved.

12) Limitation of Liability

To the maximum extent permitted by law:

  1. WKRD will not be liable for indirect, incidental, special, consequential, or punitive damages.

  2. WKRD’s total liability for any claim related to the Services will not exceed the amount you paid to WKRD in the 12 months prior to the event giving rise to the claim (or $100 if you paid nothing), unless a different limit is required by law.

13) Indemnification (Hold Harmless)

You agree to defend, indemnify, and hold harmless WKRD, its owners, affiliates, officers, employees, contractors, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • your use of the Site,

  • your User Content,

  • your violation of these Terms,

  • your violation of any rights of another person or entity.

14) Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and share information. By using the Site, you consent to our data practices as described in the Privacy Policy.

15) Changes to the Terms

We may update these Terms from time to time. The “Effective Date” will change when updates are made. Continued use of the Site after changes means you accept the updated Terms.

16) Governing Law and Venue (Pennsylvania)

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. You agree that any dispute will be brought in state or federal courts located in Pennsylvania, and you consent to personal jurisdiction and venue there.

WKRD Music & Audio Content

All music, recordings, beats, instrumentals, mixes, masters, stems, artwork, videos, and related media released, hosted, or promoted as WKRD Label content (including WKRD Label radio programming and WKRD-produced releases) are protected works. Unauthorized use is prohibited, including but not limited to:

  • copying, ripping, downloading, re-uploading, mirroring, or redistributing WKRD music or media;

  • using WKRD music in videos, livestreams, podcasts, compilations, games, apps, or advertisements without written permission;

  • selling, licensing, sampling, or creating derivative works from WKRD music without authorization;

  • claiming ownership, credits, or rights you do not have.

Limited Permission (Personal Use Only)

You may view, stream, and share official WKRD links for personal, non-commercial purposes, provided you do not remove watermarks, credits, or notices and you do not imply endorsement or ownership. Any other use requires prior written consent from WKRD Label & Publishing Co.

User-Generated Content

Users may post content they own or have permission to use. Users retain ownership of their content, but they are responsible for ensuring it does not infringe any third-party rights. WKRD may remove content that appears to violate copyright or other intellectual property rights.

Copyright Complaints (Notice & Takedown)

If you believe content on this Site infringes your copyright, send a written notice including:

  1. Identification of the copyrighted work claimed to be infringed;

  2. Identification of the allegedly infringing material and where it appears on the Site;

  3. Your name, address, phone number, and email;

  4. A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law;

  5. A statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on the owner’s behalf;

  6. Your physical or electronic signature.

WKRD will review and may remove or disable access to the content and may take action against repeat infringers.
